DIR-3 KYC 2026: The Biggest Change to Director Compliance in Years
If you are a director of an Indian company or a designated partner in an LLP, the way you complete your annual KYC has changed for good. The Ministry of Corporate Affairs (MCA) has overhauled the DIR-3 KYC framework, moving from a yearly filing to a three-year cycle, and has simultaneously restructured its network of Registrars of Companies (ROCs). Here is exactly what changed, when it applies, and what you must do to keep your DIN active.
What Changed: From Annual KYC to a 3-Year Cycle
Until now, every director holding a Director Identification Number (DIN) had to file KYC every single financial year. The MCA has now substituted Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014. With effect from 31 March 2026, a director holding a DIN as on 31 March of a financial year is required to file Form DIR-3 KYC (Web) only once every third consecutive financial year, on or before 30 June of that year.
In plain language: the old dual requirement of filing e-form DIR-3 KYC and then a separate DIR-3 KYC-WEB every year has been replaced by a single, simpler web-based verification done once in three years. This is a major reduction in the compliance burden for India's 30 lakh-plus DIN holders.
Who Still Needs to File Outside the 3-Year Cycle?
The relief is not unconditional. You will still need to file in a specific year if: you are completing DIR-3 KYC for the very first time after being allotted a DIN; your DIN was deactivated and you are reactivating it; or you need to update your registered mobile number, email address, or residential address.
The New KYC Form: Simpler and Multi-Purpose
The MCA has introduced a redesigned KYC form that does three jobs at once: it completes your periodic KYC, lets you update contact and address details, and allows reactivation of a deactivated DIN. Fewer forms means fewer fees and fewer chances of missing a deadline.
New ROCs and Regional Directors from 1 January 2026
Alongside the KYC change, the MCA has expanded its administrative machinery. With effect from 1 January 2026, three new Regional Directors have been set up at Chandigarh, Navi Mumbai and Bengaluru, and six new Registrars of Companies have been created at Delhi, Mumbai, Kolkata, Noida, Nagpur and Chandigarh. For businesses this should mean faster processing and clearer jurisdiction, but you should confirm which ROC now has jurisdiction over your company before your next filing.
Deadlines and Penalties You Cannot Ignore
The consequence of missing your KYC has not softened. If you fail to file DIR-3 KYC by the due date, your DIN is marked "Deactivated due to non-filing of DIR-3 KYC", and reactivation costs a late fee of Rs 5,000. A deactivated DIN means you cannot sign or file any company or LLP document, effectively freezing your ability to act as a director until you pay and re-file.
